CLIENT TERMS & CONDITIONS

The contract governing your use of the Freight24 platform as a shipper, consignor, consignee, or business customer.

These Client Terms and Conditions ("Client Terms") constitute a legally binding agreement between Freight24 Logistics Private Limited, operating under the brand name Freight24 ("Freight24", "Company", "We", "Us", or "Our"), and the customer, shipper, consignor, consignee, business, or other entity using Freight24's logistics and transportation services ("Client", "You", or "Your").

These Client Terms govern your access to and use of the Freight24 website, mobile applications, digital logistics platform, Control Tower and related transportation and logistics services (collectively, the "Platform").

By registering, accessing, or using the Platform or requesting Freight24 services, You acknowledge that You have read, understood, and agreed to these Client Terms and the Freight24 Privacy Policy.

If You do not agree with these Client Terms, You must discontinue use of the Platform and related services.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

1.1 Eligibility

You must be at least 18 years of age and legally capable of entering into a binding agreement under applicable Indian law.

If You use the Platform on behalf of a company, partnership, proprietorship, or other organization, You confirm that You are authorized to represent that entity.

1.2 Client Information

You must provide accurate, complete, and current information during registration and while requesting services.

Information may include:

  • Company or business name;
  • Contact details;
  • Billing details;
  • GST details, where applicable;
  • Pickup and delivery locations;
  • Shipment information;
  • Authorized contact persons; and
  • Other information reasonably required to provide the services.

1.3 Account Security

You are responsible for maintaining the confidentiality of Your login credentials, passwords, OTPs, and other authentication information.

You must immediately notify Freight24 if You become aware of unauthorized access or suspected misuse of Your account.

2. FREIGHT24 SERVICES

Freight24 may provide digital logistics and transportation facilitation services including:

  • Transportation booking;
  • Vehicle allocation;
  • Trip management;
  • Shipment tracking;
  • Driver and vehicle coordination;
  • POD management;
  • Delivery status updates;
  • Document management;
  • Invoice and payment information;
  • Operational reporting; and
  • Other logistics-related services agreed with the Client.

Specific services may depend on the applicable commercial arrangement.

3. BOOKING AND TRANSPORT REQUESTS

The Client shall provide accurate information when requesting transportation services, including:

  • Pickup location;
  • Delivery location;
  • Pickup and delivery timelines;
  • Cargo description;
  • Cargo quantity;
  • Cargo weight and dimensions;
  • Vehicle type required;
  • Loading requirements;
  • Unloading requirements;
  • Special handling requirements; and
  • Other information reasonably required for transportation.

Freight24 may rely on the information provided by the Client when arranging transportation services.

4. CARGO RESPONSIBILITIES

4.1 Accurate Declaration

The Client must accurately declare the nature, quantity, weight, dimensions, value, and other relevant characteristics of the cargo.

4.2 Prohibited and Restricted Goods

The Client must not tender prohibited, unlawful, restricted, hazardous, or dangerous goods without making the required declaration and obtaining applicable approvals, permits, packaging, labeling, and documentation.

The Client shall be responsible for consequences arising from inaccurate, incomplete, or misleading cargo declarations.

4.3 Packaging

The Client is responsible for ensuring that cargo is appropriately packed, secured, labelled, and prepared for transportation, unless otherwise agreed in writing.

Improper packaging that results in damage, leakage, contamination, loss, or safety risks may result in additional charges or other contractual consequences.

5. PICKUP AND LOADING

The Client shall make the shipment available at the agreed pickup location and within the agreed or communicated pickup window.

The Client shall provide reasonable access and necessary instructions for loading.

Where loading is the Client's responsibility, the Client shall ensure that cargo is properly loaded and secured.

Any waiting time, detention, additional handling, or related charges shall be governed by the applicable commercial agreement, rate card, or agreed service terms.

6. DELIVERY AND UNLOADING

The Client shall ensure that the consignee or authorized receiving party is available at the designated delivery location where required.

The Client is responsible for providing accurate delivery information.

Where unloading is the Client's or consignee's responsibility, appropriate arrangements must be made for unloading.

Delays caused by the Client, consignee, site restrictions, incorrect delivery information, or lack of receiving personnel may result in applicable waiting, detention, or additional charges as agreed commercially.

7. TRANSPORTATION RATES AND CHARGES

Transportation charges shall be determined based on the applicable quotation, rate card, trip confirmation, work order, service agreement, or other commercial arrangement.

Additional charges may apply for services or circumstances including, where applicable:

  • Extra distance;
  • Waiting or detention;
  • Additional loading or unloading;
  • Route changes;
  • Additional stops;
  • Toll or FASTag charges;
  • Parking;
  • Special handling;
  • Additional manpower;
  • Vehicle change;
  • Cancellation; or
  • Other services requested or required for the shipment.

Applicable charges shall be communicated or determined in accordance with the relevant commercial arrangement.

8. CANCELLATION AND MODIFICATION

The Client may request cancellation or modification of a booking.

Cancellation or modification charges, where applicable, shall be determined according to the applicable rate card, quotation, work order, service agreement, or other commercial arrangement.

Changes to pickup location, delivery location, vehicle type, cargo details, or route may affect the applicable charges and availability.

9. TRACKING AND LOCATION INFORMATION

Freight24 may provide vehicle and shipment tracking through the Platform.

Tracking information may depend on GPS availability, mobile network connectivity, device functionality, third-party mapping services, and other technical factors.

The Client acknowledges that tracking information may not always be continuous or completely accurate.

Tracking information may be used for operational monitoring, customer support, security, service reporting, and dispute investigation.

10. PROOF OF DELIVERY

Freight24 may provide electronic or physical Proof of Delivery ("POD") following delivery.

POD may include:

  • Receiver signature;
  • Company stamp;
  • Delivery photograph;
  • Digital acknowledgment;
  • Delivery receipt; or
  • Other delivery confirmation.

The Client agrees to review POD information and promptly notify Freight24 of any material discrepancy.

11. PAYMENT AND INVOICING

The Client shall pay Freight24 the applicable charges within the payment terms agreed under the relevant quotation, work order, service agreement, invoice, or other commercial arrangement.

The Client shall provide accurate billing and GST information.

Any invoice dispute should be raised within the applicable dispute period communicated by Freight24 or specified in the commercial agreement.

Undisputed amounts shall remain payable according to the agreed payment terms.

Late payments may result in applicable interest, suspension of services, recovery costs, or other contractual remedies where provided under the applicable commercial agreement and law.

12. TAXES

Applicable GST and other taxes shall be charged in accordance with applicable law.

The Client is responsible for providing accurate GSTIN and other tax information where applicable.

Freight24 shall not be responsible for consequences arising from incorrect tax information provided by the Client.

13. CLIENT REPRESENTATIONS

The Client represents that:

  • Information provided to Freight24 is accurate;
  • The Client has the right to tender the cargo for transportation;
  • Cargo information has been correctly declared;
  • Required licenses and approvals have been obtained where applicable;
  • The shipment does not knowingly contain prohibited goods; and
  • The Client will comply with applicable laws and regulations.

14. CLAIMS FOR LOSS, DAMAGE OR SHORTAGE

Any claim relating to cargo loss, damage, shortage, delivery discrepancy, or other transportation issue should be reported to Freight24 promptly after discovery.

The Client may be required to provide supporting documents, photographs, invoices, delivery records, PODs, or other information reasonably required to investigate the claim.

Liability for cargo loss, damage, shortage, or other transportation claims shall be determined in accordance with applicable law and the relevant commercial agreement.

15. INTELLECTUAL PROPERTY

All rights in the Freight24 Platform, including software, design, trademarks, logos, content, systems, databases, workflows, and technology, remain the property of Freight24 Logistics Private Limited or its licensors.

The Client receives only a limited right to use the Platform for authorized business purposes.

The Client must not copy, reproduce, modify, reverse engineer, distribute, or commercially exploit the Platform without written authorization.

16. CLIENT DATA AND PRIVACY

Freight24 may collect and process Client information necessary to provide the services, including:

  • Contact information;
  • Account information;
  • Shipment details;
  • Pickup and delivery information;
  • Vehicle and driver information;
  • PODs;
  • Transaction information;
  • Billing and tax information; and
  • Technical and Platform usage information.

Such information shall be handled in accordance with the Freight24 Privacy Policy and applicable law.

17. THIRD-PARTY SERVICES

The Platform may use third-party services including payment gateways, mapping services, GPS providers, communication services, cloud infrastructure, electronic signature services, and other technology providers.

Third-party services may have separate terms and privacy policies.

Freight24 shall not be responsible for third-party services to the extent they are outside Freight24's reasonable control.

18. PLATFORM AVAILABILITY

The Platform is provided on an "AS-IS" and "AS-AVAILABLE" basis.

Freight24 does not guarantee uninterrupted or error-free access.

Temporary service interruptions may occur due to maintenance, technical failures, network issues, third-party services, security incidents, force majeure events, or other circumstances beyond Freight24's reasonable control.

19. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Freight24 and its directors, officers, employees, affiliates, representatives, and service providers shall not be liable for indirect, incidental, special, consequential, or punitive losses arising from the use of or inability to use the Platform.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

Where a separate commercial agreement contains specific liability, cargo, insurance, service-level, payment, or compensation provisions, those provisions shall apply to the relevant service.

20. INDEMNIFICATION

The Client agrees to indemnify and hold harmless Freight24, its directors, officers, employees, affiliates, representatives, and service providers against claims, losses, liabilities, damages, costs, and reasonable legal expenses arising from:

  • Breach of these Client Terms;
  • Violation of applicable law;
  • Incorrect or fraudulent information provided by the Client;
  • Incorrect declaration of cargo;
  • Prohibited or improperly declared goods;
  • Client-controlled loading, unloading, or handling activities; or
  • Violation of third-party rights.

This provision remains subject to applicable law and any applicable commercial agreement.

21. SUSPENSION AND TERMINATION

Freight24 may suspend or restrict Client access where reasonably necessary due to:

  • Breach of these Terms;
  • Fraudulent activity;
  • Security concerns;
  • Non-payment;
  • Misuse of the Platform;
  • Submission of false information;
  • Legal or regulatory requirements; or
  • Activities that may materially affect Freight24, its partners, or other users.

Termination shall not affect payment obligations or liabilities that accrued before termination.

22. FORCE MAJEURE

Freight24 shall not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, floods, fire, accidents, war, riots, government restrictions, strikes, transportation disruptions, telecommunications failures, internet outages, cyber incidents, or third-party infrastructure failures.

23. MODIFICATION OF TERMS

Freight24 may update these Client Terms from time to time.

Updated Terms may be published through the website or Platform.

Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms, subject to applicable law.

24. GOVERNING LAW AND JURISDICTION

These Client Terms shall be governed by the laws of India.

Subject to any dispute-resolution mechanism contained in a separate commercial agreement, disputes arising from these Terms shall be subject to the jurisdiction of the competent courts at Mumbai, Maharashtra, India.

25. SEVERABILITY

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to remain valid and enforceable to the extent permitted by law.

26. ENTIRE AGREEMENT

These Client Terms, the Freight24 Privacy Policy, and any applicable quotation, work order, service agreement, rate card, or other commercial agreement constitute the terms governing the relevant services.

Where a specific commercial agreement contains provisions inconsistent with these Client Terms, the specific commercial agreement shall prevail for that transaction.
